Corporate Secretary

The Humane Society of the United States (HSUS), the nation's largest animal advocacy organization, is seeking a Corporate Secretary for the Office of the Genearl Counsel (OGC). The primary purpose of this position is to take and preserve minutes of all meetings of the members of the Society and of the Board of Directors and to notify members and directors of annual and special meetings; additionally, will secure the confidentiality and privacy of the Board and centralize all Board support activities.

This position will be responsible for:

  • Planning all pre-meeting activities of full board and board committee meetings and teleconferences and the annual Membership meeting, including identifying appropriate dates and venues; will work with the Conferences & Events staff to make all arrangements for accommodations, audio visual equipment, catering and transportation logistics, drafting and coordinating schedules, preparing and sending call letters and response forms, coordinating preparation and distribution of support materials and ensuring the smooth functioning of onsite meetings;
  • Taking and transcribing board and board committee meeting and teleconference minutes;
  • Managing all organization Nominating Committee activities including identifying suitable candidates for committee membership, drafting committee correspondence, arranging meetings/teleconferences, preparing and distributing background material including biographical information on candidates for nomination; drafting the ballot package and coordinating mailings and tallying of ballots;
  • Preparing certification of election and Elections Committee report and arrange for bylaw-mandated Annual Meeting of members;
  • Maintaining all key, Board Manual and Board Committee documents and update them and distribute them on a regular basis;
  • Maintaining all Board records including minutes, official files of meetings, attendance lists, contact lists, terms of office, years of service, corporate authorizations, etc. and certifying corporate documents under attestation and seal;
  • Serving as secretary for HSUS affiliates (Doris Day Animal League, Humane Society Legislative Fund and the South Florida Wildlife Center) and performing similar functions for them as well;
  • Responding to other requests from leadership and staff for assistance and/or information related to the Board business and serving as liaison among executive officers, board leadership, etc. and assisting the OGC in all matters related to the Board of Directors.


  • Bachelor’s Degree in related field or equivalent work experience required;
  • Minimum of three years’ administrative/executive experience required, ideally in a position involving highly sensitive or confidential documents and requiring judgment and discretion;
  • At least four or more years of experience working with a board of directors is strongly preferred;
  • Thorough knowledge of the organizational mission and programs is preferred;
  • An understanding and experience with board governance issues and for board-CEO-other officer protocols is strongly preferred;
  • Advanced record-management and document production skills required, along with strong organizational and meeting planning skills;
  • Excellent verbal and written communication skills along with solid interpersonal skills to build and foster relationships and to demonstrate tact, diplomacy, and discretion.
