General Counsel (Part Time)

The Humane Society Wildlife Land Trust is an affiliate of The Humane Society of the United States. The Humane Society Wildlife Land Trust (HSWLT) celebrates and protects wild animals by creating permanent sanctuaries, preserving and enhancing natural habitat and confronting cruelty. HSWLT is currently seeking a Part-time General Counsel to serve as its in-house legal advisor.

This position will be responsible for:

  • Conservation acquisitions including:
    • Structuring, negotiating, drafting documentation for, and closing on conservation transactions;
    • Identifying legal and tax issues involved with conservation transactions and communicating with donors and their legal and financial advisors regarding their resolution;
    • Pre-acquisition due diligence.
    • Facilitating the work of HSWLT’s Habitat Protection Advisory Committee;
  • Researching and advising on legal issues related to stewardship of conservation projects; will also manage litigation or alternate dispute resolution proceedings and participate in the related proceedings;
  • Supporting the operations of the organization
    • Structuring, negotiating, reviewing and drafting of contracts and other documents related to HSWLT operations including liability releases and agreements for contractors and other vendors;
    • Providing legal advice to the board of directors on governance and compliance issues;
    • Providing prepublication review of HSWLT written materials, to confirm compliance with regulatory requirements;
  • Serving as principal point of contact with outside regulatory bodies;
  • If appointed by the Board of Directors, may serve as the Corporate Secretary;
  • Coordinating with HSUS office of general counsel attorneys on matters of common interest or shared responsibility including human resources and employment matters, trademark licensing, and lobbying reporting;
  • Other duties as assigned.

Qualifications:

  • Juris Doctorate degree required;
  • Must be a member in good standing with the DC Bar (preferred) or other state bar;
  • Minimum of 9 years’ legal experience with business, real-estate or transactional practice;
  • Working knowledge of legal tools available for conservation transactions and related tax benefits required; conservation transaction and knowledge of real property transactional matters preferred.
  • Working knowledge of legal issues surrounding operation of a nonprofit organization required. Significant nonprofit experience preferred.
  • Must have experience managing and recruiting other attorneys for litigation and/or for pro-bono;
  • Interest in the evolving parts of the land conservation industry highly desired;
  • Excellent oral and written communications skills with ability to discuss contentious topics to audiences of different sizes and levels, including board of directors, advisory boards, HSWLT leadership and staff, donors, landowners, professional advisers, and contractors;
  • Excellent problem-solving skills; ability to identify issues associated with conservation acquisition, conservation stewardship, other risk management, or internal governance matter and fashion appropriate, cost effective response, and consistent with applicable legal constraints;
  • Attention to detail in the drafting of critical documents;
  • Ability to multitask and meet deadlines.
